1.About These Terms
1.1These terms of use (the “Terms”) govern your access to and use of the website at taucapital.vc (the “Website”), which Tau Capital Limited operates.
1.2In these Terms, “You” means any person who accesses or uses the Website.
1.3Tau Capital Limited (“Tau”, “we”, “us” or “our”) is a private company limited by shares, incorporated in the Abu Dhabi Global Market (“ADGM”) with registered number 21324. Our address is Unit 36, Level 25, Al Sila Tower, Abu Dhabi Global Market Square, Al Maryah Island, Abu Dhabi, United Arab Emirates.
1.4By accessing or using the Website, you accept these Terms and agree to comply with them. If you do not accept these Terms, you must not access or use the Website.
1.5In these Terms, the following words have the following meanings:
- “FSRA” means the ADGM Financial Services Regulatory Authority.
- “COBS” means the Conduct of Business Rulebook issued by the FSRA.
- “Professional Client”, “Market Counterparty” and “Retail Client” have the meanings that COBS gives them.
- “Tau Fund” means any fund or other investment vehicle that Tau or any of its affiliates manages or sponsors.
- “Portfolio Company” means any company in which a Tau Fund has invested.
- “Released Parties” means Tau, its affiliates, and each of their members, directors, officers, employees, agents, advisers and representatives.
2.Regulatory Status
2.1Tau Capital Limited is regulated by the FSRA. The FSRA granted Tau Capital Limited Financial Services Permission number 240095 on 18 March 2025.
2.2That permission covers three regulated activities, as the FSRA’s rules define them:
- Managing Assets;
- Managing a Collective Investment Fund; and
- Arranging Deals in Investments.
2.3You can check our permission on the FSRA public register.
2.4The conditions of that permission do not allow us to deal with Retail Clients or to hold Client Assets (as the FSRA’s rules define Client Assets, broadly money or investments held on behalf of clients).
2.5Accordingly, we provide our regulated services only to persons that we have classified as Professional Clients or Market Counterparties. Any information on the Website that relates to our regulated services is intended only for Professional Clients and Market Counterparties. No other person should act on that information.
3.No Offer or Solicitation
3.1The Website is for general information only. Nothing on the Website is:
- an offer to sell, or a solicitation of an offer to buy, any security, any interest in a Tau Fund, or any other investment;
- investment, legal, tax, accounting or other professional advice; or
- a recommendation to make, hold or dispose of any investment.
3.2The Website does not give a complete description of Tau, the Tau Funds or our investment activities. You should not rely on the Website when you make investment decisions, and you should seek independent professional advice where appropriate.
3.3Any investment in a Tau Fund is available only through that Tau Fund’s official offering and subscription documents, and only to investors who meet the eligibility criteria that those documents set. Those documents set the terms of the investment. You should review them carefully before you make any investment decision.
4.Jurisdictional Restrictions
4.1The Website is not intended for persons in jurisdictions where its use would be prohibited by law, or would require us or a Tau Fund to register or obtain a license there.
4.2By using the Website, you confirm that the laws and regulations that apply to you permit your use of it.
4.3Nothing on the Website is an offer of securities in the United States or to any “US person”, as Regulation S under the US Securities Act of 1933 defines that term.
5.Information and Third-Party Content
5.1Unless the Website states otherwise, information on the Website is current only as of the date on which we published it, and it may not reflect later events or developments.
5.2We may update the Website at our discretion, but we have no obligation to keep its content current.
5.3Certain content on the Website comes from third parties. We do not independently verify that content, and we are not responsible for its accuracy or completeness.
6.Forward-Looking Statements
6.1The Website may contain forward-looking statements about technologies, industries, markets, the economy, Tau, Tau Funds and Portfolio Companies. Words such as “anticipate”, “believe”, “expect”, “intend”, “may”, “plan”, “target” and “will” identify many of these statements.
6.2Forward-looking statements rest on our current beliefs, assumptions, expectations and projections. However, forward-looking statements are not guarantees of future events or results. They involve risks and uncertainties, and actual outcomes may differ materially from those that the statements express or imply.
6.3Opinions on the Website are current only as of their publication date, and we may change them at any time without notice.
6.4We have no obligation to update any forward-looking statement or opinion, whether because of new information, future events or otherwise.
7.Portfolio Companies
7.1Any Portfolio Companies shown on the Website are examples only and may not represent all the investments of the Tau Funds.
7.2Investments in the Portfolio Companies shown may not have been profitable. We do not guarantee that any investment will be profitable in the future. Past performance is not a reliable indicator of future results.
7.3Information about Portfolio Companies may come from materials that those companies have published or provided.
7.4By showing a Portfolio Company on the Website, we do not imply that the company endorses Tau. By showing a Portfolio Company on the Website, we do not recommend buying, selling or holding any of that company’s securities.
8.Website Content and Intellectual Property
8.1Except for the third-party content and marks that clauses 5.3 and 8.3 describe, we or our licensors own all content on the Website, including its text, design, graphics, logos and software, and all related intellectual property rights. All rights are reserved.
8.2You may view, download and print content from the Website for your own information and non-commercial use. You must not, without our prior written consent:
- copy, reproduce, republish, distribute or sell any content from the Website, in whole or in part, for any commercial purpose;
- modify, alter or deface the Website or its content, or create derivative works from it;
- frame the Website, or store its content on a proxy server, cache or other retrieval system in order to redistribute it; or
- remove any copyright, trademark or other proprietary notice from content on the Website.
8.3The name “Tau”, the Tau logo and our other marks on the Website are our trademarks or those of our affiliates, whether or not registered. The names and logos of Portfolio Companies and other third parties belong to their respective owners. Nothing on the Website grants you a license to use any trademark.
9.Acceptable Use of the Website
9.1You must not:
- use the Website for any unlawful or fraudulent purpose, or in breach of these Terms;
- introduce viruses, malware or other harmful code to the Website;
- attempt to gain unauthorized access to the Website, to the servers that host it, or to any system connected to it;
- use robots, scrapers or other automated means to extract content from the Website in bulk, other than to index it for a search engine; or
- impersonate us, any of our personnel, or any Portfolio Company.
10.Information You Submit to Us
10.1You may contact us or submit information through the Website, including business plans and company materials. Please do not send us confidential, proprietary or trade-secret information unless we have agreed in writing to receive it in confidence.
10.2Unless we have agreed otherwise in a written agreement that we have signed, we will treat any information that you send us as non-confidential. By submitting information, you agree that we may use it without any obligation of confidentiality. This clause 10 does not affect how we handle personal data, which our Privacy Policy (clause 15) explains.
10.3We are not required to review, respond to or return any information that you send us, and we may decline any proposal at our discretion.
10.4We and the Tau Funds remain free to evaluate, invest in or pursue opportunities that are similar to, or compete with, those that you describe, including opportunities that involve other parties.
10.5Submitting information through the Website does not create a client relationship or any advisory or fiduciary duty. We act for clients only under a written agreement.
11.Links to Other Websites
11.1The Website may include links to third-party websites, including those of Portfolio Companies. We do not control those websites, and we are not responsible for their content, products, services or privacy practices.
11.2A link to a third-party website does not imply our endorsement. We do not guarantee the accuracy, completeness, reliability, security or suitability of any linked website.
11.3You use any link to a third-party website at your own risk. That website’s own terms and conditions govern your use of it.
12.No Warranties
12.1To the fullest extent that the law allows, we provide the Website and its content “as is” and “as available”, without any express or implied warranty about the accuracy, availability or suitability of the Website or its content for any purpose.
12.2In particular, none of the Released Parties makes any representation or warranty:
- that the information on the Website, or any other information communicated in writing or orally in connection with the Website, is accurate or complete;
- that any projection, forecast, estimate or statement about prospects or future returns on the Website is reasonable or will be achieved;
- that the Website will be available without interruption, or will be free of errors, viruses or other harmful code; or
- of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.
13.Limited Liability
13.1To the fullest extent that the law allows, none of the Released Parties is liable for any loss or damage arising out of or in connection with your use of, inability to use, or reliance on the Website or its content. That exclusion covers indirect or consequential losses, such as loss of profits, business opportunities, goodwill, data or revenue.
13.2Clause 13.1 applies however the liability arises, including in contract, tort (including negligence), breach of statutory duty or misrepresentation.
13.3If any Released Party is held liable despite clause 13.1, the total aggregate liability of all Released Parties arising out of or in connection with the Website and these Terms is limited to USD 100. More than one claim does not increase this limit.
13.4You use the Website at your own discretion and risk. You are solely responsible for any damage to your computer system or device, and for any loss of data, that results from your use of the Website.
13.5Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
13.6Nothing in these Terms excludes or restricts any duty or liability that we owe to any person under the ADGM Financial Services and Markets Regulations 2015 or the rules of the FSRA.
14.Your Responsibility for Claims and Losses
14.1You are responsible for, and will compensate the Released Parties for, any third-party claims, and the resulting losses and costs, that arise from your use of the Website in breach of these Terms or of applicable laws.
14.2We may manage the defense of any claim that clause 14.1 covers, at your expense. You must cooperate with us, and you must obtain our written consent before you settle any such claim.
14.3We will use reasonable efforts to notify you of any such claim once we become aware of it.
15.Privacy and Personal Data
15.1Our Privacy Policy, available on the Legal page of the Website, explains how we collect and use personal data through the Website, and how the Website uses cookies.
15.2We process that personal data in accordance with the ADGM Data Protection Regulations 2021.
16.Changes to the Terms and the Website
16.1We may update these Terms at any time by posting the revised version on the Website. Any change takes effect from the “Last updated” date shown at the bottom of these Terms.
16.2If you continue to use the Website after that date, you accept the updated Terms. Please check these Terms each time you use the Website.
16.3We may change, suspend or withdraw all or part of the Website, or restrict your access to it, at any time and without notice. We are not liable to you if the Website is unavailable at any time or for any period.
17.Governing Law and Jurisdiction
17.1The laws of the ADGM govern these Terms, your use of the Website, and any dispute or claim arising out of or in connection with them, including any non-contractual dispute or claim. Those laws apply without regard to any choice-of-law or conflict-of-law rule.
17.2The ADGM Courts have exclusive jurisdiction to settle any dispute or claim that clause 17.1 covers, and you irrevocably submit to their jurisdiction.
18.General Legal Provisions
18.1If a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision applies with the minimum modification needed to make it valid and enforceable. The remaining provisions continue in full force.
18.2If we do not enforce a provision of these Terms, or delay enforcing it, we do not waive our right to enforce it later.
18.3These Terms form the entire agreement between you and us about your use of the Website. These Terms do not affect any separate written agreement between you and us or any Tau Fund, which governs its own subject matter.
18.4Each Released Party may enforce clauses 12, 13 and 14 as if it were a party to these Terms. No person other than you, us and the Released Parties has any right to enforce these Terms.
18.5We may transfer our rights and obligations under these Terms to any of our affiliates or to a successor to our business. You may not transfer your rights or obligations under these Terms.
18.6The headings in these Terms are for convenience only and do not affect their interpretation.
18.7These Terms are written in English. If we provide a translation, the English version prevails.
